Townsync is an online network for people and businesses in the same local area. The idea is to provide a space where businesses can reach their market; people can connect with neighbors and stay up to date with events and happenings in their town. We built the site to allow users to connect with the people they care about and businesses they support. We also realize that many people require privacy and do not want everyone to see their personal information. Therefore, we have created privacy settings that allow users to limit the amount of information people can view. We strongly encourage users to only approve requests from known businesses or personal friends. We hope that our users will appreciate our strict effort to protect their privacy and help do the same for themselves by only approving viewers they know and trust. We take great pride in our privacy at TownSync and hope you will to. Please keep these important principals in mind when using our site:

• Every user has control over their personal information and who they share it with.
• The only required information is the person's Zip code. At your discretion, you may upload additional information.
• We have included "report" links throughout the site that will allow users to report material they have identified as inappropriate. Our team reviews every response submitted and takes the necessary steps to resolve the issue. Please take advantage of this service to keep your TownSync community safe and dynamic.

We understand the tremendous benefits of sharing information, especially when it is your neighbors and friends you see on a daily basis. We hope everyone takes advantage of this, but want to stress that your network should be your close friends and favorite businesses, and that your information should be kept private.

ACCEPTANCE OF TERMS

TownSync provides a collection of online resources, including classified ads, forums, various email services, profiles, calendar, and advertisements all subject to the following Terms of Use. By using the Service in any way, you are agreeing to comply with these Terms of Use. In addition, when using particular TownSync services, you agree to abide by any applicable posted guidelines for all TownSync services, which are subject to change from time to time. Should you object to any term or condition of the Terms of Use or any future modifications to the Terms of Use or become dissatisfied with TownSync in any way, your only recourse is to immediately discontinue use of the site. TownSync has the right, but is not obligated, to strictly enforce the Terms of Use through self-help, community moderation, active investigation, litigation and prosecution.

We do not claim any ownership of material on displayed of posted on TownSync. All publicly displayed information is at your discretion and is not the responsibility of TownSync, including but not limited to, calendar posting, classified ads, and discussions.

Future Modification to this agreement:

We reserve the right, at our sole discretion, to change, modify or alter these terms and conditions at any time. Any modifications to the TOU shall become effective immediately upon posting on the website. You must review this agreement on a regular basis to keep yourself updated on any changes.

Liability and limitations:

Under no circumstances shall TownSync be liable for direct, indirect, incidental, special, or consequential damages that result from any aspect of use on TownSync.com and all of its services. Such limitations also apply to damages incurred through services or products received through but not limited to advertisements, classifieds or goods displayed on TownSync.

Website conduct:

With that said, as a user you have agreed not to post, or make available any content:

• That is unlawful, harmful, abusive, harassing, invasive of another's privacy, or is harmful to minors in any way.
• That infringes any patent, trademark, copyright or other proprietary rights of any party, or content that you do not have a right to make available under any law or under contractual or fiduciary relationships.
• Use automated means, including spiders, robots, crawlers, or any tools that download data from the Service - unless permitted by TownSync.
• That is pornographic or depicts a human being engaged in actual sexual conduct in anyway.
• That harasses, degrades any individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability.
• That violates federal, state, or local equal employment opportunity laws, including but not limited to, stating in any advertisement for employment a preference or requirement based on race, color, religion, sex, national origin, age, or disability.
• That includes personal or identifying information about another person without that person's consent.
• That constitutes or contains "junk mail," "spam," "chain letters," etc.
• That advertises any illegal service or the sale of any items the sale of which is prohibited or restricted by any applicable law, including but not limited to items for sale that are prohibited or regulated by Vermont law.
• That contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

You also agree not to take the follow actions:

• Contact anyone who has asked not to be contacted, or make unsolicited contact with anyone for any commercial purpose.
• "Stalk" or harass anyone.
• Upload viruses or other malicious code.
• Solicit login information or access an account belonging to someone else.
• Collect personal data about any user without their consent.
• Repeatedly post the same or similar content or otherwise impose an unreasonable or disproportionately large load on our infrastructure;
• Attempt to gain unauthorized access to TownSync's computer systems or engage in any activity that disrupts the performance of, or impairs the functionality of TownSync.com and all its services.

You must also agree not to impersonate any person or business without their expressed consent.

Spam:

You understand and agree that sending unsolicited email advertisements to TownSync's email addresses or through TownSync's computer systems is prohibited by these Terms. Any unauthorized use of TownSync's computer systems is a violation of these Terms and certain federal and state laws.

Limiting services:

You acknowledge that TownSync reserves the right to establish limits concerning use of the Service, including but not limited to the maximum number of days that content will be retained by the Service, the maximum number and size of postings, email messages, maximum number of calendar events, maximum number of advertisements or other Content that may be transmitted or stored by the Service, and the frequency with which you may access the Service. You agree that TownSync has no responsibility or liability for the deletion or failure to store any Content maintained or transmitted by the Service. You acknowledge that TownSync reserves the right at any time to modify or discontinue the Service with or without notice, and that TownSync shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

You also Acknowledge that TownSync reserves the right to change it's pricing structure or prices for services at any time.

Termination of Service:

You agree that TownSync has the right to delete or deactivate your account, terminate your access to or use of the Service without notice, and remove and discard any content within the Service, for any reason. Further, you agree that TownSync shall not be liable to you or any third-party for any termination of your access to the Service. Further, you agree not to attempt to use the Service after said termination.

Advertising:

Advertising on TownSync should be used with careful discretion. The intention is to provide an inexpensive means for advertising to a local community. Our advertising is not national; they are only listed to users in your zip code.

It is strictly forbidden to post the following information (but not limited to the items listed) illegal, profane, inappropriate, misleading, or false information. Anything that is reported will be reviewed by our compliance department and dealt with appropriately. If something is reported and chosen for removal, that user will receive no refund. You are not allowed to post an advertisement assuming the name or implying that you are from a business you have no affiliation with.

Our advertising platform allows you to create custom advertisements. The user creates a title, uploads a picture, and provides a description. You then choose the days you would like to advertise for. There are a maximum of 16 banners per day, per town. These banners rotate equally. We do not guarantee the number of views or times it is seen by users. By creating an advertisement, the user aggress to all the terms stated above.

Additional advertising information:

• Your ads will comply with our Terms of Use
• We determine the size, placement, and positioning of your ads.
• We do not guarantee anything in regard to your ads, including but not limited to the number of clicks you will get.
• Our license to run your ad will end when we have completed your Order. You understand, however, that if users have interacted with your ads, your ads may remain until the users delete it.
• Purchasing an ad for one day will provide 24hours of promotional service, 12am – 12pm.
• We may reject or remove any ad for any reason.
• You agree that if the advertiser you represent violates this Statement, we may hold you responsible for that violation.
• Cancelation:
  1. After an add is purchased and the payment is processed, you are unable to cancel this ad. It will be displayed on the days you have selected.
• Refund
  1. There are no refunds available unless there is an error on the website that keeps the site from running properly for more that 4 hours.
• We do not store or keep any credit card information. After a payment is process that information is erased.

Disputes:

• You will resolve any claim or dispute you have with TownSync arising out of or relating to this Statement or with TownSync in a state or federal court located in Chittenden County, Vermont. The laws of the State of Vermont will govern this Statement, as well as any claim that might arise, without regard to conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Chittenden County Vermount for the purpose of litigation.
• If anyone brings a claim against us related to your actions or your content on TownSync, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim.

We are Providing TownSync "as is" without any express or implied warranties of any kind.

General:

The Terms of Use constitute the entire agreement between you and TownSync and govern your use of the Service. The Terms of Use and the relationship between you and TownSync shall be governed by the laws of the State of Vermont without regard to its conflict of law provisions. You and TownSync agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Chittenden, Vermont.
